River Hills Women’s Club Bylaws
Article I — Name
The name of this organization shall be the River Hills Women’s Club. (RHWC)
Article II — Purpose
This Club is organized for the purpose of bringing together women of the community for social and educational opportunities.
Article III — Membership
Section 1. Regular Membership. Women in any of the following categories are eligible for membership:
Residents of River Hills Plantation
Non-resident River Hills property owners
River Hills Country Club members who do not reside in River Hills
Property Owners of former Duke Power land, accessible through the River Hills gates
Non-resident former members of the River Hills Women’s Club, who live within a fifty mile radius of the River Hills community, and who have been Women’s Club members for at least the last three years before moving from the River Hills community
Any Country Club member or resident of River Hills, who is not a member of the Women’s Club, is limited to being a guest one time each year.
Section 2. Associate Membership. Former members of the River Hills Women’s Club who have been Club members for at least the last three years prior to moving from the River Hills area, and who are no longer eligible under Section 1 above, are eligible for Associate Membership.
Section 3. Dues. The dues of this Club shall be forty dollars, payable on or before September 1st of each year. Upon payment of dues, each member is eligible for membership in any of the Interest Groups. Dues may be prorated at the discretion of the Executive Committee. Members will not be required to pay regular membership dues. However, a moderate fee to be determined each year by the Board will be charged to cover such items as typesetting, printing, and mailing costs.
Article IV — Officers
Section 1. Titles, Terms, and Elections. The officers of the Club shall be a President, First Vice-President, Second Vice-President, Secretary, Treasurer, and an Interest Group Coordinator. These officers shall form the Executive Committee. They shall be elected at each annual meeting and shall serve for one year or until their successors are elected. No officer may serve in the same position for more than two consecutive terms. Election shall be by ballot, unless there is but one nominee for the office.
Section 2. Duties. The officers of the Club shall perform the duties prescribed for them in the parliamentary authority adopted by this organization.
The First Vice-President shall be program Chairperson and the Second Vice-President shall be Membership Chairperson.
Vacancies on the Executive Committee shall be filled by the officers.
The President shall be an ex-officio member of all committees except the Nominating Committee.
The President, with the approval of the Executive Committee, shall appoint all committee chairpersons.
Article V — Meetings
Section 1. Regular Meetings. Regular meetings shall be held on the third Wednesday of each month from September through May, unless otherwise ordered by the Board of Directors. Cocktails will be served at 12:00 p.m. and luncheon at 12:30 p.m.
Section 2. Annual Meeting. The regular meeting in May shall be known as the Annual Meeting, and shall be for the purpose of electing officers and conducting any other business that may arise.
Section 3. Special Meetings. Special meetings may be called at the discretion of the President.
Article VI — Board of Directors
Section 1. Board of Directors. The Board of Directors shall consist of the Executive Committee and the Chairpersons of regular committees.
Section 2. Duties. The Board of Directors shall have general supervision of the affairs of the Club.
Section 3. Board Meetings. Meetings of the Board of Directors shall be at the call of the President.
Article VII — Committees
Section 1. Regular Committees. There may be the following regular committees: Finance, Hospitality, Luncheon, Membership, Programs, Social, Special Interest, Yearbook, and such other committees as deemed advisable.
Section 2. Special Committees. There shall be the following special committees:
A Nominating Committee, consisting of three members elected by the membership at the March meeting. This committee shall present its report at the April meeting for the election to be held in May. Nominating from the floor will be accepted at the May meeting, previous consent of the candidate having been obtained.
An independent auditor will be selected by the President in May to audit the Treasurer’s books. This report will be given to the membership at the September meeting.
Such other committees as considered necessary may be appointed by the President to carry out the work of the Club.
Article VIII — Parliamentary Authority
“Robert’s Rules of Order Newly Revised” shall govern the Club in all cases where it is applicable and not inconsistent with these By-Laws.
Article IX — Amendments
These By-Laws may be amended at any regular meeting of the Club by a two-thirds vote, provided previous notice has been given.
